1. Tems + Conditions Introduction
These terms + conditions ("Agreement") govern the use of the web design services ("Services") provided by Web Honey hereinafter referred to as "Web Honey" or "we," to any individual or entity ("Client" or "you") engaging our services. By using our Services, you agree to comply with and be bound by these terms and conditions. Please read this Agreement carefully before proceeding.
2. Service Agreement
2.1 Scope of Services Web Honey agrees to provide web design services as agreed upon with the Client. The specific details of the Services, including project timelines, deliverables, and fees, will be outlined in a separate agreement or proposal.
2.2 Client Responsibilities If Client has requested to use any of their own materials, Client shall provide all necessary materials, content, and information required for the web design project promptly. Client is responsible for ensuring that all materials provided to Web Honey do not infringe upon any intellectual property rights of third parties.
2.3 Project Timeline Web Honey will make reasonable efforts to meet agreed project timelines. However, any delay caused by Client's failure to provide necessary materials or feedback in a timely manner may result in project timeline adjustments.
3. Payments and Refunds
3.1 Fees The Client agrees to pay Web Honey the agreed-upon fee for the Services provided. The fee structure and payment schedule will be specified in the separate agreement or proposal.
3.2 Non-Refundable Deposit Web Honey requires a non-refundable deposit of $200.00 (AUD) before commencing any work. This deposit covers administrative costs and secures a spot in our production schedule. The deposit amount will be deducted from the total project fee.
3.3 Refunds Except for the non-refundable deposit mentioned above, all payments made by the Client to Web Honey are non-refundable. This includes any partial or full payments made for the Services.
4. Confidentiality
4.1 Client Information Web Honey acknowledges that in the course of providing the Services, we may have access to certain confidential and proprietary information of the Client. We agree not to disclose or use any such information for any purpose other than fulfilling our obligations under this Agreement, unless required by law.
4.2 Non-Disclosure Web Honey shall exercise reasonable precautions to prevent the unauthorized disclosure or use of any confidential information obtained from the Client. We shall not sell, distribute, or share any Client information, including but not limited to contact details, project details, or any other personally identifiable information, with third parties without the express written consent of the Client, except as required by law. 5. Intellectual Property
5.1 Ownership Upon receipt of full payment for the Services, Web Honey transfers to the Client all rights, title, and interest in the final deliverables, including but not limited to website designs, graphics, and source code, unless otherwise specified in a separate agreement.
5.2 Third-Party Materials Web Honey may incorporate third-party materials, such as stock images or fonts, into the web design project. These materials may be subject to additional licensing terms and conditions and are not owned by Web Honey. The Client agrees to comply with any such third-party license terms and assumes all responsibility for obtaining necessary licenses or permissions.
6. Limitation of Liability
6.1 Exclusions To the fullest extent permitted by law, Web Honey shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Services provided, including but not limited to loss of profits, data, or business opportunities.
6.2 Indemnification The Client agrees to indemnify and hold harmless Web Honey from any claims, damages, liabilities, or expenses arising out of the Client's use of the Services.
